The transaction is expected to close on Wednesday, August 12, subject to customary closing conditions. Intel estimates net proceeds of approximately $19.7 billion, assuming the over-allotment option is not exercised, and plans to use the funds for general corporate purposes, including capital expenditures and working capital, rather than a single project. This move comes as Intel continues developing its semiconductor manufacturing capabilities under its Intel Foundry strategy and invests in next-generation fabrication processes, including the Intel 14A node. The offering occurs amid record investments in AI infrastructure, with Goldman Sachs Research projecting global AI spending to exceed $1 trillion in 2026, including nearly $581 billion in the US. Intel aims to leverage this momentum to accelerate technology development and strengthen its position in advanced semiconductors, citing growing demand for AI-enabled products as a factor influencing its outlook.
